By accessing or using Runplane ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.
2. Description of Service
Runplane provides a runtime control plane for autonomous AI systems, including policy enforcement, decision auditing, and governance tools. The Service evaluates AI agent actions before execution to enforce organizational policies and compliance requirements.
3. User Accounts
To use certain features of the Service, you must register for an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Be responsible for all activities under your account
4. Subscriptions and Payments
Certain features of the Service require a paid subscription. By subscribing, you agree to:
- Pay all applicable fees as described in your plan
- Provide valid payment information
- Accept automatic renewal unless canceled before the renewal date
Merchant of Record: Lemon Squeezy, LLC is our Merchant of Record for all subscription payments. All payment processing, tax calculation, and invoicing is handled by Lemon Squeezy. By purchasing a subscription, you also agree to Lemon Squeezy's terms of service.
All fees are non-refundable except as required by law or as explicitly stated in our Refund Policy. You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of your current billing period.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
- Transmit malicious code or interfere with the Service
- Attempt to gain unauthorized access to any systems
- Use the Service for any illegal or harmful purpose
6. Data and Privacy
Your use of the Service is subject to our Privacy Policy. You retain ownership of your data. We process your data only as necessary to provide the Service and as described in our Privacy Policy.
7. Intellectual Property
The Service and its original content, features, and functionality are owned by Runplane and are protected by international copyright, trademark, and other intellectual property laws.
8. Limitation of Liability
To the maximum extent permitted by law, Runplane shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service.
9. Disclaimer of Warranties
The Service is provided "as is" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free.
10. AI Systems and Autonomous Actions Disclaimer
Runplane provides runtime governance infrastructure for autonomous AI systems, including policy enforcement, risk evaluation, human approval workflows, and action auditing capabilities. Runplane operates as a governance and decision layer that evaluates AI agent actions before execution and returns enforcement decisions (ALLOW, BLOCK, or REQUIRE_APPROVAL) based on configured policies and contextual information provided by the customer.
Scope of Service: Runplane does not create, train, operate, host, or control third-party AI models, large language models, customer-built agents, automation tools, or any external systems integrated by the customer. Runplane does not execute actions on behalf of AI agents and does not have direct control over downstream systems, APIs, databases, infrastructure, payment processors, or other operational environments.
Customer Responsibility: Customers are solely responsible for:
- Configuring and operating their AI agents, prompts, and automation workflows
- Defining appropriate governance policies, risk thresholds, and approval rules
- Integrating Runplane correctly within their systems and workflows
- Ensuring that AI agents respect governance decisions returned by Runplane
- Implementing appropriate safeguards, testing, and monitoring for their AI systems
- Managing access controls, credentials, and permissions for integrated systems
No Guarantee of Prevention: Runplane evaluates actions using the context and metadata provided by the customer and applies configured policy rules. However, Runplane cannot guarantee the prevention of all unintended, harmful, unauthorized, or incorrect operations. The effectiveness of governance depends on the accuracy of information provided, the completeness of policy configuration, and the correct implementation of Runplane within customer systems.
Exclusion of Liability: Runplane is not responsible for any damages, losses, or liabilities arising from:
- AI model hallucinations, incorrect outputs, or unpredictable behavior
- Incorrect, incomplete, or malicious prompts provided to AI systems
- Faulty policy configurations, misconfigured rules, or inadequate governance settings
- Errors in AI agent logic, decision-making, or execution flows
- Failures, errors, or unexpected behavior in external APIs, services, or integrations
- Third-party systems, databases, infrastructure, or downstream execution environments
- Customer failure to implement, test, or enforce governance decisions
- Unauthorized access resulting from compromised credentials or misconfigured permissions
By using Runplane, you acknowledge that runtime governance is one component of a comprehensive AI safety strategy and does not replace the need for appropriate AI model selection, prompt engineering, system architecture, testing, monitoring, and operational safeguards.
11. Modifications to Terms
We reserve the right to modify these terms at any time. We will notify you of significant changes via email or through the Service. Continued use after changes constitutes acceptance.
12. Termination
We may terminate or suspend your account at any time for violations of these terms. Upon termination, your right to use the Service will cease immediately.
13. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
